Terms of Service

1. Overview

This website is operated by SOEMO GALLERY. Throughout the website, the terms “we”, “us” and “our” refer to SOEMO GALLERY.

By visiting this website, submitting an inquiry, or purchasing an artwork, you agree to these Terms of Service and to the policies referenced in them. If you do not agree, please do not use the website or place an order.

2. Eligibility and Website Use

You must be at least 18 years old, or have the authorization of a parent or legal guardian, to place an order.

You may not use this website or its content for unlawful, fraudulent, abusive, or unauthorized purposes, or attempt to interfere with its security or operation.

3. Artwork Information

We make reasonable efforts to present each artwork accurately, including its artist, title, year, medium, dimensions, edition information, condition, and images.

Due to lighting, photography, screen settings, and the nature of handmade artworks, colours, textures, proportions, and details shown online may differ slightly from the physical artwork. Measurements are approximate unless expressly stated otherwise.

Natural variations, artist-intended irregularities, and age-related characteristics disclosed in the description are not considered defects.

You may contact us through our website contact page before purchasing if you require additional images, a condition report, framing details, or other information.

4. Originality, Editions and Certificates

Where applicable, artworks are sold as original works or authenticated limited editions. Edition numbers, signatures, certificates of authenticity, and provenance information will be provided only where stated in the artwork description or accompanying sales documentation.

The purchase of an artwork transfers ownership of the physical artwork only. Copyright and all other intellectual property rights remain with the artist or relevant rights holder unless expressly transferred in writing.

5. Prices and Taxes

Prices are displayed in the currency shown on the website and may change without notice. A price change will not affect an order already accepted by us.

Unless expressly stated otherwise, prices do not include shipping, insurance, customs duties, import taxes, clearance fees, installation, or other destination charges. Buyers are responsible for charges imposed by their destination country or region.

6. Orders and Contract Formation

Submitting an order does not automatically mean that it has been accepted. An order becomes binding only after SOEMO GALLERY has confirmed acceptance and payment has been successfully received or otherwise approved.

Because many artworks are unique, an artwork may become unavailable before an order is confirmed. We reserve the right to reject or cancel an order because of prior sale, incorrect information, pricing or inventory errors, suspected fraud, payment failure, legal restrictions, or an inability to deliver to the requested destination.

If we cancel an order after payment has been received, we will refund the amount paid for the cancelled item to the original payment method.

7. Payment

Buyers must provide current, complete, and accurate billing and payment information. Payment is processed through Shopify or the payment providers made available at checkout. Their separate terms and privacy practices may apply.

We may request additional verification before accepting or dispatching an order.

8. Cancellation, Returns and Refunds

Artwork purchases are generally final sale. Cancellation, return, damage, and refund requests are governed by our Return and Refund Policy, which forms part of these Terms.

An order may be cancelled before dispatch, subject to written confirmation from SOEMO GALLERY. Once dispatched, it cannot be cancelled except where required by applicable law or permitted under our Return and Refund Policy.

9. Shipping and Delivery

Shipping arrangements, preparation times, costs, insurance, tracking, customs obligations, damage reporting, and collection are governed by our Shipping Policy, which forms part of these Terms.

Delivery dates are estimates only. Risk in the artwork passes to the buyer upon confirmed delivery to the delivery address, except where applicable law provides otherwise. Legal title passes only after we have received full cleared payment.

10. Inspection on Delivery

Buyers should inspect the artwork and packaging promptly upon delivery. Any visible damage or material discrepancy must be reported within 48 hours in accordance with our Return and Refund Policy.

Failure to report within this period may affect our ability to make a claim against the carrier or insurer, but does not limit rights that cannot legally be excluded.

11. Intellectual Property

All website content—including artwork images, photographs, text, graphics, logos, videos, design, and layout—is owned by or licensed to SOEMO GALLERY, the artists, or other rights holders.

Content may not be copied, reproduced, downloaded, distributed, modified, published, commercially exploited, or used to train an artificial intelligence system without prior written permission from the relevant rights holder.

Limited personal and non-commercial viewing of the website is permitted.

12. Prohibited Conduct

You must not:

• Submit false or misleading information;
• Use the website for fraud or unlawful activity;
• Attempt unauthorized access to the website or related systems;
• Introduce malicious code or interfere with website operation;
• Scrape, harvest, or systematically extract website content or data; or
• Infringe intellectual property, privacy, or other rights.

13. Third-Party Services and Links

This website may use or link to third-party services, including Shopify, payment providers, carriers, social media platforms, and external websites. We are not responsible for third-party content, availability, security, terms, or privacy practices.

14. Disclaimer and Limitation of Liability

To the maximum extent permitted by applicable law, the website and its content are provided on an “as available” basis. We do not guarantee that access will be uninterrupted, error-free, or free from harmful components.

SOEMO GALLERY will not be liable for indirect, incidental, special, or consequential loss arising from use of the website or purchase of an artwork, including loss of profit, opportunity, data, or enjoyment.

Where liability cannot legally be excluded, our aggregate liability relating to an order will not exceed the amount paid for the artwork giving rise to the claim, except where a different limit is required by law.

Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability or consumer right that cannot legally be excluded.

15. Indemnity

To the extent permitted by law, you agree to indemnify SOEMO GALLERY against claims, losses, and reasonable costs resulting from your unlawful use of the website, violation of these Terms, or infringement of another person’s rights.

16. Force Majeure

We are not responsible for delay or failure caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, epidemic, war, civil disturbance, government action, customs delay, labour disruption, transportation interruption, or failure of utilities or communications.

17. Changes to These Terms

We may update these Terms from time to time by publishing a revised version on this website. The version in effect when an order is accepted will apply to that order.

18. Severability

If any provision is found invalid or unenforceable, the remaining provisions will continue in effect.

19. No Waiver

A failure or delay in enforcing any provision does not waive our right to enforce it later.

20. Governing Law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Subject to any mandatory consumer rights, disputes shall be submitted to the courts of Hong Kong.
